Terms of sale and use

These terms govern access to and use of the Reply service. Taking out a subscription constitutes unreserved acceptance of them.

1. Purpose

Reply is an online service that reads reviews published on a Google Business Profile listing, proposes automatically written replies, and publishes them according to the rules you set.

The service is aimed at businesses acting in the course of their trade. It is not intended for consumers.

2. Account and access

Creating an account requires a valid email address and the registration of a passkey. The service uses no passwords.

You are responsible for safeguarding your authentication means and for anything done from your account. Register at least two passkeys: with no password, losing the only registered key makes the account unrecoverable.

The account is personal to the business holding it and may not be transferred without our written agreement.

3. Connecting your Google listing

The service requires you to authorise it, through Google, to read your reviews and publish replies on your behalf. That authorisation is revocable at any time from your Google account; revoking it stops the service.

You warrant that you hold the necessary rights over the listing you connect. A Google listing may be connected to only one Reply account.

The service depends on an interface provided by Google. Any change, restriction or interruption of that interface by Google may affect the service without giving rise to our liability.

4. Generated replies, your responsibility

Replies are produced by a language model from the tone and context you provide. They are proposals.

Reviews of three stars and below are never published without your explicit approval. Reviews of four and five stars may be published automatically if you enable that option: in that case you accept that replies go live under your name without prior review, and you take responsibility for their content.

You may suspend publication, amend a proposal or decline to reply at any time.

You must not use the service to publish unlawful, defamatory or misleading content, or to manipulate perception of your business in breach of Google’s rules.

5. Plans and pricing

Two plans are offered: one business at 19.99 € per month, and up to five businesses at 49.99 € per month. Both include the same features.

Prices are stated in euros. VAT is not applicable under article 293 B of the French tax code: the publisher falls under the small-business exemption, no VAT is charged, and the price shown is the price paid.

We may change our prices. Any change is notified at least thirty days in advance and applies only from the following renewal; you may cancel before then.

6. Payment

The subscription is monthly, payable in advance, and renews automatically until cancelled.

Payments are handled by Stripe. We store no card details.

If a payment fails, generation and publication are suspended until the situation is resolved. Your settings, history and reviews are kept.

7. Term and cancellation

The subscription has no minimum term. You may cancel at any time from your billing area; it ends at the close of the current period, already paid for, with no pro-rata refund.

We may suspend or terminate an account for serious breach of these terms, after a formal notice left unaddressed for fifteen days, or immediately in case of manifestly unlawful use.

Deleting your account permanently erases your data as described in the privacy policy. Replies already published on Google remain online: they are yours and belong to your listing.

8. Right of withdrawal

As the service is intended for businesses acting in the course of their trade, the consumer right of withdrawal does not apply.

If you subscribe as an individual outside any professional activity, you have fourteen days to withdraw. By requesting immediate performance of the service, you waive that right once the service has been fully performed.

9. Availability and changes

The service is provided without a contractual availability commitment. We aim for continuous availability and may interrupt the service for maintenance, seeking to limit disruption.

Features may change. Removal of a substantial feature is notified thirty days in advance and gives you an immediate right to cancel.

10. Liability

Our liability is limited to direct and foreseeable loss, capped at the sums you paid during the twelve months preceding the triggering event.

We are not liable for indirect loss, in particular lost revenue, lost custom or reputational harm arising from the content of a reply you approved or whose automatic publication you authorised.

No limitation applies in case of gross negligence, wilful misconduct or personal injury.

11. Personal data

The processing of your data and of review authors’ data is described in our privacy policy, which forms an integral part of these terms.

12. Governing law and disputes

These terms are governed by French law. The French version prevails; translations are provided for your convenience.

In case of disagreement, please write to us first: most matters are settled that way. Failing an amicable agreement, disputes fall to the courts of Lyon, France.

As the service is sold to businesses, no consumer mediator is appointed. If you subscribed as a consumer, write to us and we will agree on a route to an amicable settlement before any proceedings.
